Program overview

An enforceable contract is a written or oral agreement that can be imposed in a court of law. If the law permits enforcement of a contract, execution of an agreement is the obligation of the assenting parties. To enforce means mandatory compliance with a contract. Contract law provides that contracting parties have a right to commitment and enforceability. Parties’ mutually assenting agreement and signatory of a contract are obliged to adhere to the rules of contract law, by performing as promised.

In this workshop on Drafting Enforceable Contract Condition, participants will learn the art of drafting enforceable contracts through hands-on practical exercises in the program.

  • draft clear and concise contract (reduce ambiguity in contracts);

  • The Responsibilities of Contractor, Owner and Consultant on the Project
  • What is “Fair and Reasonable”?
  • How do Claims Arise? Legal Basis, how can these be reduced?

 

Day 2: Contracting Methods and Associated Risks:

  • Letter Contracts
  • Material Purchases
  • Labour Supply Contracts
  • Service Contracts
  • Package Deals, Turnkey Design Build,
  • Traditional Single General Building Contractor or Engineering Contractor,
  • Construction Manager Method,
  • Phased Construction: Multiple-Prime Contractor, Fast Track Contracting.
  • BOLT
  • Technology Purchase and Consultancy Contracts
  • Financial Risks on the different contracts.

 

Day 3: Duties Responsibilities of the Parties to Project Contracts.

  • Drafting Contracts Guidelines and Checklists

  • Fundamental Policies and Values of Contract Law
  • Sources of Contract Law
  • General Writing Principles Applicable to Contract Drafting

Day 4: How Risks are transferred.

  • What Risks cannot normally be transferred?
  • Means of coordinating
  • When Risk Transfer is Really Complete?

Speaker/s

ADEBAYO, BAMIDELE OLASEHINDE- B.Sc. (Political Science); LL. B; B.L; LL.M; PhD (in view); FCIS, ACIPMN, MNITD; MNIM, MIBA. Adebayo is a seasoned and experienced legal practitioner of nearly three decades work experience. Adebayo is a graduate of University of Lagos where he studied Law at first degree and Masters Levels with outstanding performance. He attended the Nigerian Law School and was called to the Nigerian Bar. Adebayo also studied Political Science at first degree level at the then Ondo State University (now Ekiti State University). Adebayo is a Fellow of the Institute of Chartered Secretaries and Administrators of Nigeria and the United Kingdom. Adebayo, at different times in his working career, has worked with Negris Holdings Limited as the Company Secretary/ Legal Adviser; Institute of Chartered Secretaries and Administrators of Nigeria as the Assistant Registrar (Marketing and Corporate Affairs) and later Deputy Registrar of the Institute. He also had a stint at Gani Adetola-Kaseem (SAN) Legal Practitioners as a Senior Counsel, among others. Adebayo is also a member of the Chartered Institute of Personnel Management and the International Bar Association, among many other professional bodies.  He has facilitated in many workshops and Conferences. He will join others to share their experiences on this program.

Abiola Olasheinde, Mrs.  LLB, BL, FCIS.: She is currently the Company Secretary of Petrolex Oil and Gas Company Limited. A former company secretary of PZ plc and former Deputy Company Secretary of Cadbury Nigeria Plc. She has attended many international courses on Law, governance and Management. She is a Council member of the Institute of Chartered Sectaries and Administrators of Nigeria and former Chairperson of the Lagos state Chapter of the Institute. An incisive facilitator in governance, contract management and other related Courses. She will join others to share experience on this programme.
